Hay qui\u00e9n dice que asistimos a una Tercera Revoluci\u00f3n Industrial y desde mi punto de vista, no cabe duda de ello. Lo cierto es que, en esta ocasi\u00f3n, el progreso y la evoluci\u00f3n de los pa\u00edses desarrollados, hace que pr\u00e1cticamente cualquiera que tenga una idea, pueda llevarla a cabo si consigue captar la financiaci\u00f3n necesaria (cosa que, en anteriores revoluciones industriales no ocurr\u00eda con tanta facilidad). Hoy en d\u00eda, fen\u00f3menos como el \u201cCrowdfounding\u201d, las \u201cLanzaderas\u201d y, la apertura y normalizaci\u00f3n de la cultura inversora, hacen posible que cualquier idea de negocio se materialice y sea viable.<\/p>\n<p>En ese sentido, el Derecho tambi\u00e9n ha sabido adecuar, esas nuevas formas de negocio a los deseos de aquellos que aportan sus ideas y su trabajo, as\u00ed como a aquellos, que aportan su capital para que puedan llevarse a cabo. Las cl\u00e1usulas \u201cDrag Along\u201d y \u201cTag Along\u201d (tambi\u00e9n denominadas \u201cde arrastre\u201d o \u201cde acompa\u00f1amiento\u201d) son un claro ejemplo de c\u00f3mo inversores y empresarios, protegen sus intereses, para el caso en el que se produzca una venta de participaciones o acciones de la sociedad que integran.<\/p>\n<p>Las cl\u00e1usulas \u201cDrag Along\u201d y \u201cTag Along\u201d se introducen, bien en los estatutos sociales o bien, en un pacto de socios posterior y establecen derechos espec\u00edficos, para el caso en el que se realice una operaci\u00f3n de compraventa de la sociedad:<\/p>\n<ul>\n<li>La cl\u00e1usula \u201cDrag Along\u201d o \u201cde arrastre\u201d, permite a los accionistas mayoritarios, ejecutar la venta forzosa de las cuotas de participaci\u00f3n minoritarias, en aras de facilitar la venta total de la sociedad a un tercero adquirente.<\/li>\n<li>La Cl\u00e1usula \u201cTag Along\u201d o \u201cde acompa\u00f1amiento\u201d permite al socio minoritario adherirse voluntariamente a la venta. De tal suerte, que no se plantea como una obligaci\u00f3n, sino como un derecho que se otorga a los socios minoritarios. En este caso y por el contrario al anterior, el eventual comprador, podr\u00eda encontrarse con la situaci\u00f3n de no poder adquirir la totalidad de la sociedad, por lo que, la venta podr\u00eda verse finalmente frustrada.<\/li>\n<\/ul>\n<p>Ambas cl\u00e1usulas, han cobrado una vital importancia en este tipo de empresas de nueva creaci\u00f3n, pues la mayor\u00eda de la inversi\u00f3n que atraen, busca un crecimiento exponencial en un espacio corto de tiempo y tras \u00e9l, una sustanciosa venta que reporte tambi\u00e9n, importantes beneficios econ\u00f3micos. Hoy en d\u00eda, no se entiende la constituci\u00f3n de una \u201cStart Up\u201d sin un clausulado espec\u00edfico que regule este tipo de operaciones, pues como decimos, la compraventa de \u00e9stas empresas de nueva creaci\u00f3n, es una circunstancia inherente a las mismas.
